MerchLaunch provides an all-in-one platform for businesses to design, produce, and sell custom branded apparel. Our Services include storefront creation, product design tools, order fulfillment, and related support services. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Account Registration

To use certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. User Content & Intellectual Property

You retain ownership of any content, designs, logos, and materials you upload to the platform ("User Content"). By uploading User Content, you grant MerchLaunch a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your User Content solely for the purpose of providing the Services. You represent and warrant that you own or have the necessary rights to all User Content and that it does not infringe upon any third party's intellectual property rights.

5. Prohibited Uses

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Upload content that is unlawful, defamatory, obscene, or otherwise objectionable
• Infringe upon any intellectual property, trademark, or copyright

6. Orders, Payments & Pricing

All orders placed through MerchLaunch are subject to acceptance and availability. Prices are subject to change without notice. You agree to pay all fees and charges associated with your account and orders. Payment must be made through the methods provided on the platform. MerchLaunch is not responsible for any errors in pricing displayed on the platform, and we reserve the right to correct such errors and cancel affected orders.

7. Shipping & Fulfillment

MerchLaunch will make commercially reasonable efforts to fulfill and ship orders in a timely manner. Delivery times are estimates and are not guaranteed. We are not liable for delays caused by shipping carriers, customs, or circumstances beyond our control. Risk of loss and title for products pass to you upon delivery to the carrier.

8. Limitation of Liability

To the maximum extent permitted by law, MerchLaunch and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to MerchLaunch in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless MerchLaunch and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination will remain in effect.
